No development invoice. The 36-month term is the mechanism that replaces it.
A bespoke build like this usually starts with a £40,000–£100,000 development invoice. Sysgraft doesn't charge one — not deferred, not disguised. The build is funded through the subscription itself: one fixed monthly amount, by turnover band, over a 36-month minimum term.
That is why the term exists: it funds the build in place of the invoice, not a lock-in bolted on afterward. Remove it, and the invoice is the only honest alternative that remains. And the subscription starts when the software does: the first payment falls at go-live, not at signature.
The subscription includes the bespoke build, hosting, maintenance, support, and ongoing improvements. After the 36 months, access continues at a renewal rate capped at no more than 15% above your then-current subscription — set out openly at go-live, not sprung at month 35.

Discovery.
The fixed fee for your band — in advance, and non-refundable. You keep its three outputs whatever you decide next: the discovery report, the plain-English overview, and the full technical specification.

The subscription.
The fixed monthly amount for your tier, across the 36-month term — and the first payment falls at go-live. Nothing is owed until working software exists: the specification is approved, the build runs its 10 to 14 days, the system goes live on your data, and then the subscription begins.

£800 a day, minimum one day — and only when you commission them. Nothing is billed at this rate without you asking for it.

WORKED EXAMPLE
An E3 business (£740 a month) leaving at the end of month 20: 16 months remain, and month 20 sits in the 55% band.
The percentage falls as the term runs, so leaving costs less the longer you've stayed — and at every point it costs less than the remaining subscription would. The formula's job is to make the worst case a number you can write down today, before you've committed to anything.
Who owns what — and what happens at every ending.
What's the catch?
That's the question underneath a due-diligence read. Answered here, before it's asked.
Ownership.
Sysgraft owns the platform and every bespoke module. You license them for as long as you subscribe. Configurations built for one client may be reused for another; there is no client exclusivity. Worth weighing before discovery, not after.
If you leave during the term.
The published exit formula applies, per clause 18.1 of the Master Terms. Your data comes back to you in full. Your access to the software ends. You are subscribing to a working, maintained, improving system — not buying a codebase. Owning software outright is what the £40,000–£100,000 upfront model sells, along with the ageing code and the maintenance burden that come with it. This is the opposite trade, and Sysgraft would rather you weighed it now than met it at due diligence.
If you stop paying.
The software stops running. Your data still comes back in full. It is the same trade, stated from the other side: the subscription is what keeps the system live, maintained and improving.
If Sysgraft fails.
The code sits in escrow, and if Sysgraft defaulted it passes to its clients. A one-person firm owes its clients that answer in writing.

- The E1 whole-term total is £9,550 — a bespoke build, hosted, maintained, supported and improved for three years, for under ten thousand pounds.
- The first subscription payment falls at go-live — nothing is owed until working software exists.
- No other charges exist except changes you commission after the included 90 days of tuning, at £800 a day, minimum one day.
- The worst-case exit at any month is computable from the published formula (clause 18.1 of the Master Terms).
- The post-term renewal rate is capped at no more than 15% above the then-current subscription — a computable ceiling, three years out.
- All figures exclude VAT.
